TalkBridge Terms of Service

Version 1.0 · Effective 2026-11-06

These Terms of Service ("Terms") govern your use of the TalkBridge mobile app and related online services (the "Service"), operated by 株式会社国際テクノロジーセンター (KTC Co., Ltd.) ("we", "us").

Article 1 (Application)

1. These Terms apply to all matters between you and us concerning the Service.

  1. By creating an account or using the Service you agree to these Terms.
  2. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind it to these Terms, and "you" then includes that organisation.
  3. The handling of personal information is governed by our Privacy Policy, which forms part of these Terms.

Article 2 (The Service)

1. The Service transcribes speech picked up by your device's microphone in real time, translates it into the languages you choose, and, after a meeting ends, writes meeting minutes using artificial intelligence (AI).

  1. Transcription, translation and minutes require an internet connection and features provided by third-party providers.
  2. Sessions (transcripts and minutes) are stored on your device. They are backed up to the cloud only if you choose to. Projects (names, context, vocabulary) are saved to your account and synced between your devices.
  3. Features, languages and available time are shown in the app or in the way we indicate. Available time may be limited.

Article 3 (Eligibility)

1. You must be at least 18 years old to use the Service. The Service is not directed at children.

  1. If you use the Service for work, you must have authority to accept these Terms on behalf of your company.
  2. If we find that you do not meet this Article, we may suspend or delete the account.

Article 4 (Accounts)

1. You need an account (an email address, a Google account or an Apple ID) to use the Service.

  1. You must give accurate information and keep your credentials secure. Activity under your account is treated as your activity, except where it results from a cause attributable to us.
  2. If you suspect unauthorised use, contact ktc-services@ktcc.co.jp immediately.
  3. One account is used by one person.

Article 5 (Recording, consent and compliance with law)

1. You decide whether and when to record.

  1. Before you start recording you must confirm and comply with the following:
  2. (1) You have the right to record and to send the audio to the Service's processors (Privacy Policy, Section 5).
  3. (2) Where the law, your employer's rules, a contract or the rules of the meeting require it, you tell the participants about the recording and obtain their consent. Recording and privacy laws differ by country and region, and some require the consent of every participant.
  4. (3) You do not record conversations you are not entitled to record or that confidentiality obligations forbid you to record.
  5. (4) If you record a child or minor, you obtain the consent of their parent or guardian.
  6. (5) You do not use the Service for covert surveillance, wiretapping or any other unlawful purpose.
  7. We do not check whether you have complied with paragraph 2. As between you and us, and to the extent permitted by law, you are responsible for obtaining participants' consent and for what you record.

Article 6 (Machine output and AI minutes)

1. Transcripts, translations and minutes are generated automatically by software and AI models. They may contain errors, omissions, mistranslations, wrong names or numbers, and content that does not match what was said. Accuracy depends on audio quality, pronunciation, background noise, languages and context.

  1. You must check anything important (names, numbers, dates, decisions, commitments) against what was actually said.
  2. Do not use the output as the only basis for legal, medical, financial, safety-related or emergency decisions, or as an official record, certified translation or replacement for an interpreter.
  3. You are responsible for how you use the output, except where we act with intent or gross negligence.

Article 7 (Prohibited conduct)

You must not:

1. break the law or infringe the rights of others (privacy, confidentiality, intellectual property or otherwise);

  1. record people without a lawful basis, or use the Service to harass, stalk, defraud or discriminate against anyone;
  2. send, store or generate unlawful, infringing or harmful content;
  3. probe, attack, overload or bypass the security, rate limits or usage quotas of the Service or its processors;
  4. reverse engineer, copy, resell or scrape the Service, or extract or share access keys or tokens, except as the law allows;
  5. use the Service to build a competing speech-recognition or translation service, or use its output to train AI models;
  6. use the Service where it could endanger people's lives or safety (for example as a safety system or for emergency calls); or
  7. engage in any other conduct that we reasonably consider inappropriate in light of the purpose of these Terms.

Article 8 (Your content)

1. "Your Content" means the audio, transcripts, translations, minutes, project names, context and vocabulary that you create or send.

  1. Rights in Your Content belong to you or the rightful owner. We do not claim ownership.
  2. You grant us a non-exclusive, limited licence to store, process, transmit and display Your Content only as needed to provide, protect and support the Service and to comply with law. This includes sending it to the processors named in the Privacy Policy.
  3. You confirm that you have the rights and permissions needed to grant this licence, including participants' consent where required.
  4. We do not use Your Content to train our own AI models. As described in Section 6 of the Privacy Policy, the published terms of our processors state that they do not use customer content to train their own models.
  5. Machine-generated output is provided for your use. Even if rights arise in it, we claim none, but we do not guarantee that it does not infringe third-party rights.

Article 9 (Our rights; open-source software)

1. Rights in the app, brand, design and software belong to us or our licensors.

  1. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app on your own devices in accordance with these Terms.
  2. The app includes open-source software, which is licensed under its own licence and listed in the app (Settings → Open-source licenses).

Article 10 (Third-party services)

1. The Service relies on third-party services such as speech recognition and translation, AI minutes, cloud hosting, sign-in and app stores. They may be interrupted, changed or discontinued.

  1. You must also follow their terms where they apply (for example Apple's and Google's store terms).
  2. The Privacy Policy names the providers that handle data. Except where we act with intent or gross negligence, we are not responsible for failures of third-party services beyond our control.

Article 11 (Changes and interruptions)

1. We may change, add or discontinue features and languages. If a change materially reduces what the Service offers, we will give reasonable advance notice.

  1. We may interrupt all or part of the Service for maintenance, failures, natural disasters, outages of third-party services or other unavoidable reasons, and will announce this in advance where possible.
  2. We do not guarantee that the Service will be uninterrupted or error-free.

Article 12 (Suspension, termination and leaving)

1. You may stop using the Service and delete your account at any time in the app (Account → Account deletion, or Settings → Account deletion).

  1. We may suspend your access or terminate the contract, with prior notice (or notice afterwards in urgent cases), if:
  2. (1) you materially or repeatedly breach these Terms;
  3. (2) the law requires it;
  4. (3) it is necessary to protect the Service, other users or third parties;
  5. (4) you do not meet Article 3; or
  6. (5) your account has been inactive for a long period after notice.
  7. Where practical, we will state the reason and give you a chance to fix the problem.
  8. What happens to your data on termination is described in the Privacy Policy.

Article 13 (Personal information)

We handle your personal information in accordance with the Privacy Policy.

Article 14 (Disclaimer of warranties)

1. We do not warrant the accuracy, completeness, fitness for a particular purpose or non-infringement of the Service or its output. The Service is provided "as is" and "as available".

  1. Paragraph 1 does not exclude liability for our intent or gross negligence, or liability that we have under the Consumer Contract Act or other mandatory law.

Article 15 (Limitation of liability)

1. Where we are liable to you for damages in connection with the Service, our liability is limited to ordinary direct damages.

  1. Our total liability under paragraph 1 is limited to JPY 10,000.
  2. We are not liable for indirect or special damages or lost profits, whether or not foreseeable, except where we act with intent or gross negligence.
  3. Paragraphs 1 to 3 do not apply to damage caused by our intent or gross negligence (including that of our representatives, employees and others we use), or to damage relating to death or personal injury.
  4. If you are a consumer under the Consumer Contract Act, this Article applies only to the extent it is consistent with that Act and other mandatory law.

Article 16 (Indemnity by business users)

If you use the Service for business purposes, you will, to the extent permitted by law, compensate us for reasonable costs and damages we incur because a third party makes a claim against us arising from your recording without required consent or your breach of Article 5 or 7. This Article does not apply to consumers.

Article 17 (Force majeure)

We are not liable for delay or failure to perform these Terms caused by natural disaster, war, terrorism, epidemic, power failure, failure of communication lines or third-party cloud or network services, changes in law or other events beyond our reasonable control.

Article 18 (Changes to these Terms)

1. We may change these Terms where: (1) the change is in the general interest of users; or (2) the change does not conflict with the purpose of the contract and is reasonable in light of the necessity of the change, the appropriateness of the new content and other circumstances. 2. We will notify you in the app or by email at least 30 days before the effective date, stating that the change will be made, its content and the effective date. We may make minor changes (such as correcting typographical errors) without notice. 3. If you do not agree to a change, you can delete your account before the effective date. If you use the Service on or after the effective date, you are deemed to have agreed to the change. 4. A change does not apply to disputes that arose before it.

Article 19 (Assignment)

1. You may not transfer your position or rights or obligations under these Terms to a third party without our prior consent.

  1. We may transfer them in connection with a business transfer or reorganisation, and will notify you.

Article 20 (Severability)

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force.

Article 21 (Entire agreement; language)

1. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.

  1. These Terms are provided in Japanese, English and Vietnamese. If they differ, the Japanese version prevails unless mandatory law provides otherwise.

Article 22 (Governing law and jurisdiction)

1. These Terms are governed by the laws of Japan.

  1. The Tokyo District Court is the (non-exclusive) court of first instance by agreement for disputes concerning the Service, subject to any mandatory rule that allows a consumer to sue or be sued in the courts of their residence.
  2. If a dispute arises, please first contact ktc-services@ktcc.co.jp. We will discuss in good faith.
